How long is my subscription?
Your Service Provider subscription is either for one (1) year, or one (1) month, and is automatically renewed, annually, or monthly, for an additional term of one (1) year, or one (1) month, unless notice of cancellation is submitted at least 30 days prior to the end of the current term.
Can I cancel my subscription?
Yes. Your Service Provider subscription may be canceled by submitting written notice of cancellation at least thirty (30) days prior to the end of the current term.
How is the success fee of a contract value calculated?
An example of a 3.5% success fee: (1) For a fixed fee seasonal contract awarded through the Services, subscriber shall pay Procursys a fee equal to three and one half percent (3.5%) of the value of the total Contract Award. For instance, if the Contract Award is ten thousand dollars, the Fixed Procurement Fee will be equal to three hundred and fifty dollars ($10,000 * 0.035 = $350.00). (2) For a per event or time and materials contract awarded through the Services, Subscriber shall pay Procursys a fee equal to three and one half percent (3.5%) of the fees earned as a result of the Contract Award. For instance, if the Subscriber earns ten thousand dollars for an event or bills ten thousand dollars in time and materials, the Event Procurement Fee will be equal to three hundred and fifty dollars ($10,000 * 0.035 = $350.00). (3) If Subscriber earns additional fees through contract enhancements, add on work or extensions of any kind as a result of a contract awarded through the Services, the above fees outlined in (1) and (2) shall apply. (4) All fees are due and payable upon receipt by the Subscriber of any fee resulting from a Contract award through the Services.
When is the success fee of a contract value due and payable?
All payments are immediately due and payable upon receipt by the Subscriber for any fee resulting from a Contract award through the Services.
Does Procursys require reporting to calculate the success fee?
Yes. The Subscriber shall provide to Procursys an accounting of all fees invoiced in accordance with a Contract award through the services within thirty (30) days of receiving a written request from Procursys. Procursys reserves the right to audit any report provided by a subscriber.
If I cancel my subscription before I complete a contract awarded through the Services, do I still owe the success fee?
Yes. Upon cancellation of a Subscription for any reason, Procursys shall be paid any accrued, but unpaid fees up to and including the conclusion of services performed by the Company under the terms of a Contract award through the services.
